MSME Development (Amendment) Bill, 2026 proposes faster payments, easier dispute resolution

New Delhi: The MSME Development (Amendment) Bill, 2026 proposes a series of changes aimed at strengthening the institutional framework for micro, small and medium enterprises (MSMEs), particularly by improving payment recovery and speeding up resolution of delayed-payment disputes.

According to the salient features released by the Ministry of Micro, Small and Medium Enterprises, the Bill introduces a composite criterion for classification of MSMEs based on turnover and investment in plant and machinery or equipment, making the criteria part of the Act.

The proposed amendments also accord permanent status to the Udyam Portal as a national digital platform for free and voluntary registration of MSMEs.

Faster settlement of MSME payments

A key provision makes routing of invoice settlements through the Trade Receivables Discounting System (TReDS) compulsory for all Central Public Sector Enterprises when procuring goods and services from MSMEs.

The Bill also empowers state governments to adopt a similar provision for their public sector enterprises.

To speed up resolution of disputes, state governments would be facilitated to establish additional Micro and Small Enterprises Facilitation Councils.

The proposed legislation prescribes stringent timelines for MSE Facilitation Councils to ensure faster adjudication of delayed-payment disputes.

Stronger recovery mechanism

The Bill proposes allowing an arbitral award in favour of an MSE to be recovered as arrears of land revenue, providing an additional mechanism for recovery of outstanding payments.

It also seeks to facilitate faster payments to MSMEs by empowering courts to order payment of at least 50 per cent of the awarded amount to MSME suppliers where an appeal has remained pending for more than six months.

Shift towards graded penalties

Another proposed change is the decriminalisation of offences under the MSME framework. The Bill seeks to replace conviction-based fines with graded penalties, with only a warning at the first instance.

The proposed changes, taken together, focus on improving payment discipline, strengthening mechanisms for recovery of dues, reducing delays in dispute resolution and simplifying the regulatory framework for MSMEs.
