MCA Invites Public Comments on Company Incorporation Rules, Compliance Reform

New Delhi, April 17: The Ministry of Corporate Affairs (MCA) has invited public comments on proposed amendments to company incorporation rules and a broader exercise to simplify compliance under the Companies Act, 2013.

The ministry has issued a draft notification titled Companies (Incorporation) Amendment Rules, 2026, aimed at revising the existing Companies (Incorporation) Rules, 2014. The draft, released through a public notice dated April 8, 2026, has been placed on the MCA website for stakeholder consultation.

Officials said suggestions and comments on the proposed amendments, along with justifications, can be submitted through the e-consultation module on the ministry’s website by May 9, 2026.

Wider Consultation on Compliance Framework

In parallel, the MCA has initiated a separate consultation process to rationalise the filing and compliance framework under the Companies Act, 2013. The exercise is being conducted through the Indian Institute of Corporate Affairs.

A concept note outlining proposed changes has been made available on the websites of both MCA and IICA. The consultation seeks stakeholder feedback across the entire corporate lifecycle, including entry, operational, and exit stages of companies.

Stakeholders can submit responses electronically through a dedicated online portal by May 15, 2026.

The initiative is part of the government’s broader efforts to streamline regulatory processes, improve ease of doing business, and reduce compliance burden for companies.
